Position: Legal AssociateDepartment: PE/VC TransactionsLocation: BKC, MumbaiWho are we looking for?Our ideal candidate should be perceptive with strong interpersonal skills and a high degree of awareness to be able to discern client needs and build strong business relationships with internal and external stakeholders.Job Responsibilities:Drafting and vetting transactional documents for startups(term sheets, investment agreements, share subscription shareholders agreements, share purchase agreements, closing documents to the transactions, and the like).End-to-end support to the team for the completion of an Investment Transaction from due diligence, pre-closing, and post-closing transaction-related matters.Assist on a broad variety of matters from complex matters to routine standard matters: Company Law, Data Protection, Commercial Contracts, Foreign Investments, Acquisitions, Investment ExitsKnowledge and interest in broad areas of corporate and transactional matters, including disclosure and reporting, corporate governance, investments, and general awareness of the nuances of the start-up ecosystem.Advice on diverse complex structures based on varied business models with multiple marquee startup founders and investorsStrong ability to understand various legal and commercial clauses and advise/negotiate the/for clients.Exposure to cross-functional training including regulatory and financeKey Requirement:BLS (LLB/LLM) or BA (LLB/LLM) from a recognized university; 2 4 years of experience in a law firm, boutique or otherwise; The candidate should have hands-on experience in the following: Mergers Acquisitions PE/VC Transactions-Corporate Restructuring reorganizationAbility to exercise judgment and discretion to opine on legal issues effectivelyExcellent written and oral communication skills in English.A command over the language both from a legal and a colloquial perspective.Inclination to work in a fast-paced environment and develop a networkResearch, analysis, and interpretation of legal information relevant to the case.Prior Startup Experience Preferred with a Great Network.Additional Perks:Direct interactions with multiple marquee startup founders and investorsExposure to cross-functional training including taxation, compliance, and finance.Great opportunity to grow with the organization hockey stick growth Read more
