Job Description

Job Responsibilities: Provide legal support throughout the entire financing lifecycle, from deal structuring to closing. Provide comprehensive legal support for corporate and project financing transactions, including drafting, reviewing, and negotiating financing documents security agreements, indentures, and other related contracts. Assist in capital raising initiatives, ensuring compliance with relevant legal and regulatory requirements. Oversee the creation and perfection of security interests, including mortgages, charges, and other forms of collateral. Provide legal support for the assignment of loans, ensuring proper legal documentation and adherence to contractual obligations. Support for the legal due diligence for financing transactions, identifying potential risks and advising on mitigation strategies. Collaborate closely with internal teams and external stakeholders to facilitate smooth execution of financing transactions. Advise on legal risks and mitigation strategies related to financing and capital raising efforts. Prepare legal opinions and memoranda as required. Ensure that all financing activities are in line with company policies and applicable laws. Stay updated on legal developments in the financing sector and provide guidance on potential impacts to the company. Manage and coordinate with external legal counsel as needed. Desired Experience and Skills/Behaviors: LL.B. from a reputed law school. An LL.M degree or additional certifications in finance-related areas would be an advantage. 6-8 years of post-qualification experience, with a focus on financing in a reputable law firm. Proven experience in corporate and project financing transactions, preferably in the power or infrastructure sectors. Strong understanding of financing structures, instruments, legal documentation, and regulatory requirements. Excellent communication, negotiation, and interpersonal skills. Ability to work effectively in a fast-paced, dynamic environment. Excellent negotiation, communication, and interpersonal skills. Proficiency in contract management software and Microsoft Office Suite.
