We partner with exceptional founders, provide deep operational support, and leverage our innovation platform to co-create and scale healthcare solutions that address critical needs in the Indian market.Job Summary:We are looking for an experienced and proactive VP - Legal to join our healthcare venture studio. This role will be instrumental in driving legal strategy, corporate governance, and regulatory compliance both at the parent company level and across diverse portfolio of healthcare-focused investee companies. The ideal candidate will have deep expertise in Indian corporate, commercial, and healthcare law, with the ability to guide high-growth businesses through complex legal landscapes.Key Responsibilities:Legal Advisory & Compliance:Draft, review, and negotiate investment agreements for venture capital fund transactions, including Shareholders' Agreements (SHA), Share Subscription Agreements (SSA), side letters, and related documentationProvide legal counsel on matters related to the Companies Act, 2013, clinical establishment norms, Drugs & Cosmetics Act, data protection (DPDP Act), labour laws, and other applicable healthcare and commercial regulationsDraft, review, and negotiate a wide range of commercial contracts including joint ventures, service agreements, IP licensing, vendor and employment contracts, lease agreements, and investment documentationAdvise portfolio companies on risk mitigation, dispute resolution, statutory compliance, and legal strategySupport business expansion strategies including M&A, fundraising, partnerships, and franchise modelsCoordinate with external legal counsel for litigation management and specialised advisoryEstablish, implement and uphold legal frameworks across the parent company and its portfolio companies in accordance with Indian Corporate laws and SEBI regulationsSupervise preparation and conduct of Board and General Meetings; review notices, agendas, resolutions, and minutes drafted by external CS firmsFacilitate seamless communication between the board, senior management, shareholders, and stakeholdersMaintain repository of legal agreementsRequirementsQualifications & Experience:Bachelor&aposs or Master&aposs degree in Law (LL.B./LL.M.) from a recognised Indian universityQualified Company Secretary (CS) - Member of the Institute of Company Secretaries of India (ICSI) is preferredPrior experience in the healthcare, pharma, wellness, or technology-enabled service sector is strongly preferredExperience of working independently and alongside law firms in advising startups, venture-backed businesses and venture capital firmsKey Skills:Comprehensive knowledge of Indian corporate and Healthcare regulatory frameworksFamiliarity with IP law, digital health regulations, medical data protection norms, and digital health standardsStrong contract drafting, negotiation, and legal research capabilitiesHigh ethical standards, confidentiality, and sound business judgmentExceptional communication, stakeholder management, and organisational skillsAbility to manage multiple entities, priorities, and timelines in a challenging environment Show more Show less
