Vice President Secretarial & Legal (Group Company Secretary & Head)
Reporting to: Board of Directors / Group CEO
Job Summary
The Group Company Secretary and Legal Head will lead the organizations entire compliance, corporate governance, and legal affairs. You will act as the principal advisor to the Board, senior leadership, and business units on legal risks, regulatory obligations, and strategic legal decisions, ensuring adherence to the Companies Act 2013, SEBI regulations (if listed), FEMA, and other industry-specific statutes.
Key Responsibilities
1. Secretarial & Corporate Governance (Board & Subsidiary Level)
- Board Stewardship: Organize and manage Board/Committee meetings, agendas, board packs, and minutes with high accuracy.
- Regulatory Compliance: Act as the Compliance Officer for the listed entity and overseeing compliance for all Indian/foreign subsidiaries.
- Governance Framework: Develop, implement, and maintain high-standard corporate governance policies, including Insider Trading, Whistleblower, and Code of Conduct.
- Statutory Records: Maintain all statutory records, registers, and filings (ROC, SEBI, RBI) for the group.
- Shareholder Services: Manage AGMs/EGMs, dividend distributions, and investor relations.
2. Legal Strategy & Management
- Strategic Advisory: Provide legal advice to senior leadership on business decisions, M&A, joint ventures, and restructuring.
- Litigation Management: Oversee the groups civil and criminal litigation portfolio, including managing external counsel, strategy, and representation before courts/tribunals.
- Contract Lifecycle Management: Draft, review, and negotiate complex commercial contracts, vendor agreements, and joint ventures.
- IPR & Regulatory: Manage intellectual property rights, trademarks, and compliance with industry-specific laws (e.g., Legal Metrology, Environmental laws).
3. M&A and Restructuring
- Transaction Legal Support: Spearhead legal due diligence, drafting transaction documents, and executing mergers, hive-offs, and acquisitions.
- Regulatory Approvals: Coordinate with Competition Commission, NCLT, and other regulatory bodies.
4. Group-Level Corporate Restructuring, Legal & Compliance Projects:
- Successfully managed legal documentation and secretarial formalities for group mergers, hive-offs, and internal restructuring initiatives.
- Oversaw company buybacks, capital structuring, and implementation of board/shareholder approvals in line with Companies Act norms.
- Supported legal due diligence for private equity investments, working closely with external legal advisors, auditors, and investors.
- Spearheaded appointment and compliance oversight of Registrars and Transfer Agents (RTA) and guided dematerialization-related matters under NSDL/CDSL framework.
- Supported Information Security Management System (ISMS) implementation from a legal, data governance, and compliance perspective.
5. Leadership & Mentorship
- Team Leadership: Lead and mentor a team of legal and secretarial professionals.
- Digital Transformation: Drive automation in legal and secretarial processes (e.g., electronic board portals, compliance management software).
Qualification And Experience:
1. Qualified Company Secretary (FCS preferred) with a Degree in Law (LLB/LLM) and experience of 1825 years of extensive professional experience in legal and secretarial functions within a large industrial conglomerate. Prior experience with a listed company and handling M&A or corporate restructuring is mandatory.
2. Deep knowledge of Companies Act, 2013, SEBI (LODR) Regulations, FEMA, and Contract Law.
3. Exceptional negotiation, communication, and leadership skills with high ethical standards.
4. Ability to balance business needs with regulatory constraints.
5. Ability to identify legal, financial, and reputational risks.
6. Experience dealing with board members, investors, and regulators.
7. Direct interaction with top business leaders and board members.
