Direct Counsel is seeking a junior to mid-level Technology Transactions Associate Attorney to join a nationally recognized, full-service Am Law 100 firm with a top-tier global practice. The firm’s Technology Transactions team advises on complex commercial and strategic technology agreements for a wide range of clients—from startup companies to large multinational corporations—spanning industries such as healthcare, financial services, logistics, e-commerce, entertainment, and energy.

This is an exciting opportunity for attorneys with 2–5 years of experience looking to build a sophisticated practice at the intersection of technology, intellectual property, data privacy, and commercial law. Position Type: Associate (JD Class Years: 2019–2022)
About the Role:

Attorneys in this group work closely with business, legal, and technical stakeholders to structure, draft, and negotiate a wide variety of cutting-edge technology and IP-driven transactions. Associates will be expected to take on meaningful responsibility early on, working on high-value deals and client matters involving:
• Information technology and business process outsourcing (IT/BPO)
• Software licensing and SaaS agreements
• Cloud services, APIs, and data processing agreements
• ERP implementation and integration projects
• Strategic alliances and joint ventures
• Support for corporate transactions, including MA, IP due diligence, and licensing
• Product counseling, commercialization, e-commerce, and marketing/advertising agreements

Experience working with venture-backed companies or venture capital investors, as well as familiarity with AI, quantum computing, and emerging technologies, is a plus.
Ideal Candidate Profile:
• 2–5 years of experience at a major law firm handling complex commercial or technology transactions
• Alternatively, experience in MA, IP licensing, or corporate finance with an interest in transitioning to tech transactions
• Strong drafting, analytical, and negotiation skills
• Demonstrated knowledge of data privacy, intellectual property, and technology-related legal issues
• Proactive, client-service mindset with attention to detail and the ability to manage multiple workstreams
• Admission to practice law in a U.S. jurisdiction where the firm maintains an office
• Preferred bar admissions include Georgia, Illinois, Texas, or Massachusetts

Location Hybrid Work Policy:

Candidates must reside and be barred in a U.S. jurisdiction where the firm has an office. While the firm supports flexibility, attorneys are expected to work in-office at least three days per week to promote collaboration and team development.
Compensation:
• Expected salary range:
• Junior Associate: $235,000–$260,000
• Mid-Level Associate: $260,000–$365,000
• Salary will be commensurate with experience, office location, and qualifications
• Bonus eligibility and full benefits package included
