Job Description
Advise on various legal aspects and ensuring legal compliance in transactions related to IBG (including but limited to SME lending), GTS (including but not limited to BGs, SBLC, Buyer's Credit, LC, Factoring, Bill Discounting, Supply Chain Finance, Pre-Export Finance, Cash Management Solutions, Escrow services etc) and PSL and drafting, vetting and negotiating of requisite documents for the same.
• Provide pragmatic and effective legal advice to manage legal risks relating to IBG, GTS and PSL across DBS India. Review standard legal documentation related to IBG, GTS and PSL and ensure that it complies with extant laws and regulations and is legally enforceable. Draft, review, negotiate and give advice on documentation for particular projects, transactions and products with respect to IBG, GTS and PSL.
• Participate in the development of processes, policies and procedures designed to reduce legal risk and/or increase the efficiency of the team. Proactively advise on and help to manage important changes in law and regulations.
• Assist Head Legal in developing and delivering a strategic legal risk management framework, including: embedding a legal risk reporting framework and training units on relevant developments in banking law, corporate laws, property laws, Trade Finance and other ancillary laws and regulations.
• Be a business partner to each business team/support team, establishing a close working relationship and acting as the single point of contact for all IBG, GTS and PSL related legal issues. Manage and build relationships with external legal advisers, including ensuring high performance levels and appropriate billing. Act as liaison between DBS personnel and external legal advisers as appropriate.
• Co-ordinate with the external counsels and internal functions and departments in the effective management of suits filed against the Bank.
JOB DUTIES & RESPONSIBILITIES
• Embed the Legal Risk and Principle Risks Standard in the business and ensure that the policies are adhered to.
• Ensure that all aspects of legal risks are identified, covered and controlled in the implementation of new projects, systems, procedures and products for the Indian market.
• Take responsibility for the quality of legal advice given, reviewing documents and all the work and assignment done.
• Provide legal advice to senior business managers as required, to ensure that legal issues are identified and resolved and that legal risk is managed appropriately within DBS India and highlight the legal risk and issues to the Seniors.
• Handling all types of lending and borrowing transactions, drafting, reviewing, analyzing and negotiating on various legal issues in day to day matters.
• Annual review of the standard documentation and simplifying and standardizing the documents and setting up of processes for streamlining the day to day queries of business and support units.
• Reviewing Title search report and providing legal support for mortgage related queries and documentation.
• Advise, draft, vet and negotiate on GTS transactions, which includes Account Receivable Purchase, Supplier Payment Services, LC, BG, Bill Discounting, Supplier Finance, Dealer Finance, BCIA, Ideal etc.
