Position: Manager-Merger & Acquisition
Qualification: LLB / LLM / Company Secretary
Experience: 4 to 5 years (Relevant)
Location: Delhi, Okhla Industrial Area
Key Responsibilities
1.Deal Execution: Act as the central point of contact, managing the transaction timeline, coordinating external counsel, and steering the deal through to closure.
2.Due Diligence: Spearhead legal and regulatory due diligence, review transaction materials, and identify risks to develop mitigation strategies.
3.Drafting & Negotiation: Draft, review, and negotiate critical transaction documents, including NDAs, LOIs, term sheets, share purchase agreements, and asset transfer deeds.
4.Compliance & Governance: Ensure compliance with statutory regulations and internal governance protocols, while facilitating board-level or audit committee reporting.
5.Cross-Functional Collaboration: Translate legal considerations into business-relevant insights by working closely with Corporate Development, Finance, and other business stakeholders.
Qualifications & Experience:
Education: A bachelor's degree in law (LLB) or equivalent, with advanced degrees such as an LLM or Company Secretary (CS) certification often preferred.
Experience: Typically 4 to 5 years of progressive corporate law experience in a law firm or in-house legal department.
Regulatory Acumen: Strong working knowledge of domestic and international corporate regulations (such as SEBI regulations, Competition Commissions, or FDI policies).
