Job Description: Capital Markets LawyerWe are seeking highly motivated and experienced Capital Markets Lawyers to join our dynamic team in Mumbai or Delhi. This role is ideal for legal professionals with a strong background in both fundraising activities and regulatory compliance within the Indian capital markets landscape.About the RoleAs a Capital Markets Lawyer, you will be instrumental in advising and executing a wide range of transactions for both listed and unlisted companies, as well as providing critical advisory services on statutory and regulatory compliance. Your expertise will contribute significantly to our clients' success in navigating the complexities of the Indian financial markets.Key ResponsibilitiesFundraising & Transactions (DCM & ECM)You will be well-versed in and responsible for:- Public Offerings: Managing and advising on public issues/offerings, Initial Public Offerings (IPOs), and follow-on public offers.- Private Placements: Handling private placements of securities for various clients.- Debt Capital Markets (DCM): Expertise in public issues of bonds and debentures, and other debt-related instruments.- Equity Capital Markets (ECM): Deep understanding of Qualified Institutional Placements (QIPs), Foreign Currency Convertible Bonds (FCCBs), renounceable and non-renounceable rights issues, and buyback of securities.- Mergers & Acquisitions: Advising on takeovers and related legal aspects.- Due Diligence: Conducting thorough legal due diligence for various capital market transactions.- Documentation: Preparing and reviewing critical offer documents, including Red Herring Prospectuses (RHP) and other offer documents.Regulatory Compliance & AdvisoryYou will provide comprehensive advisory services, including:- Statutory & Regulatory Compliance: Guiding listed companies and market intermediaries on adherence to SEBI regulations and Stock Exchange requirements.- Day-to-Day Compliance: Signing off on and ensuring continuous disclosure obligations, listing criteria, and timely regulatory filings with Stock Exchanges and SEBI.- Advisory Services: Offering expert legal opinions and solutions on complex capital market compliance matters.QualificationsExperience: 3 to 5 years of post-qualification experience exclusively within a Law Firm environment, specializing in Capital Markets.Education: LLB Batch of 2017 to 2020.Skills:In-depth knowledge of SEBI regulations, Companies Act, and other relevant capital markets laws.Proven ability to manage complex transactions from initiation to closure.Excellent drafting, negotiation, and communication skills.Strong analytical and problem-solving abilities.Ability to work independently and as part of a team in a fast-paced environment.Location: Mumbai / Delhi
