The Counsel provides legal advice and support to management and employees in Corporate Group functions and Business units
Functions as a legal resource focusing on one or more defined subject matters and/or specific businesses
Typical tasks include managing litigation, negotiating contracts, assisting the Business with product roll-outs, and advising the Business regarding regulatory developments
Responsible for anticipating and addressing potential legal risks
Identifies conflict situations and brings more senior lawyers into the decision-making process as appropriate by identifying situations when actions that the business unit wants to take conflicts with TD's risk appetite and discusses with client how particular actions might be inconsistent

Preferred Qualifications:
- Prior in-house, experience at a large corporation within highly regulated industry (e.g., food and drug or financial services), or law firm experience advising such clients on advertising and media law.
- Prior experience advising on false advertising challenges, claim substantiation, intellectual property, and promotions, sweepstakes, and contests, as well as social media and sponsored content.
- Prior experience advising on credit product solicitation and advertising requirements under the Truth-in-Lending Act and Regulation Z, the Fair Credit Reporting Act and Regulation V, and Unfair, Deceptive, and Abusive Acts and Practices (UDAAP) or similar state laws.
- Prior experience developing, updating, and negotiating advertising production agreements, including content and likeness license agreements, as well as advising on related business policies and procedures.
- Familiarity with governance, risk, and compliance frameworks for large corporations, banks, or financial institutions, including a demonstrated ability to work closely with risk owners, compliance teams, other risk stakeholders, and internal and external counsel.
