Operating with a startup culture, they are seeking a Corporate Lawyer to join the team in Downtown Vancouver.The Opportunity:The firm is seeking an experienced Corporate Lawyer with 4+ years of call to join the team in Vancouver. This role sits at the intersection of corporate law, securities and technology.You will advise startups and growth-stage technology companies on their most important legal moments: structuring for investment, raising capital, negotiating technology and IP agreements, and navigating cross-border regulatory requirements.This is a great opportunity for an Associate who enjoys working in a dynamic and entrepreneurial environment.What You Will Do:Advise technology startups and growth-stage companies on corporate structuring, shareholder agreements, and governance matters.Assist with mergers, acquisitions, and corporate reorganizations for technology companies.Act on Canadian and cross-border securities matters including venture capital financings, seed rounds, angel investments, and private placements.Draft and negotiate technology agreements including SaaS licensing agreements, end-user license agreements (EULAs), IP transfer and assignment agreements, and technology development contracts.
