Job Description
Work with the Business Development team in establishing agreements that reflect the interests of partners and the company. Also work with legal, finance & taxation teams when drafting agreements. Ensures addendums or amends as necessary.
Review & modify Services Agreements, MOU, Partnership Agreements (including JV/Consortium), Non-Disclosure Agreements, Commercial Leases, Vendor Contracts etc. as per requirement, identify risks associated with it and recommend solutions.
Advise on supplier & service provider PO terms & conditions and on contractual matters.
Negotiate various Contract & Agreement terms & conditions with external stake holders.
Monitor and assist in Contract & Agreement close-out, extension or renewal, as appropriate
Maintain all the executed Contracts & Agreements, along with relevant support documents in dedicated tool for Contract Lifecycle Management
Develop and maintain template forms of various agreements
Manage & coordinate with cross functional team such as tendering, estimations & operations and review of Project tender documents.
Assist in correct and effective post-award administration of assigned contracts including assessing, reviewing and advising respective team members in respect of contractor claims for variations, progress claims and extensions.
Advise on insurance, bank guarantees and securities in accordance with the contract and ensuring documentation, storage, renewal, closure.
Ensure that commercial and contractual risks and opportunities are identified, analysed, documented, managed and reported systematically. Support risk mitigation strategies.
Support Project and Legal teams in Arbitration proceedings.
Manage record keeping for all contract-related correspondence and documentation
Provide contract-related issue resolution, both internally and externally
Communicate contract-related information to all stakeholders
Advise & troubleshoot contract-related problems, such as breach of contract terms & conditions
Other activities as directed by the BU Head / Contracts Lead.
Qualifications and skills
Bachelor’s Degree required (Mechanical / Civil/ Chemical), (additional MBA from NICMAR or LLB preferred)
· 2 to 4 years of experience in Contract Management, preferably in Contract Administration on EPC/ LSTK Type execution of Petrochemicals/ Refinery/ Fertilizers/ Chemicals Projects. He should have worked with LSTK Contractors or Construction Sub Contractors and handled contractual matters, variation claims, communications, etc. He should be proficient in use of MS-office, specially Word and Excel spreadsheet.
· Should have good grasp over the contract terminologies and structure
· Ability to work well in a team environment
· Strong time management skills
· Ability to work well under pressure
· Highly developed attention to detail
· Must possess excellent written and oral communication skills
· Experience in Agreement & Contract negotiation, administration and/or management
