About the Position
We are seeking a highly accomplished Senior Corporate Counsel to join our team as a Transactional Law Specialist. The ideal candidate will have a proven track record of handling complex legal transactions and providing strategic legal advice to clients.
Main Responsibilities:
• Develop, review, and finalize legal documents related to corporate laws, mergers, and acquisitions.
• Offer high-level legal advice and support on private equity transactions.
• Conduct comprehensive due diligence for mergers and acquisitions.
• Support the structuring and execution of complex transactions.
• Collaborate with cross-functional teams to ensure compliance with regulatory requirements.
• Research and analyze corporate laws and regulations relevant to transactions.
• Prepare detailed reports and presentations for internal and external stakeholders.
Essential Qualifications:
• LL.B or equivalent degree from a reputable institution.
• Proven experience in corporate law, mergers acquisitions, and private equity.
• In-depth knowledge of the Companies Act, SEBI regulations, and other corporate laws in India.
• Superior negotiation skills and precision.
• Skilled in legal research and analysis.
• Effective communication and interpersonal skills.
• Capacity to work under pressure and handle multiple projects concurrently.

About Our Client
Our client is a prominent global player in the software development industry.
Job Description
• Work closely with HR and provide pragmatic advice on a broad array of employment-related matters, including hiring, diversity and inclusion, employee relations, performance management, leaves of absence, compensation, benefits, and terminations.
• Review and revise employment policies and practices on a regular basis, and provide recommendations on compliance.
• Assist and advise on internal investigations conducted by Human Resources.
• Organise and create training materials for internal clients as they relate to legal processes and procedures.
• Independently manage pre-litigation claims and agency charges and litigation, sometimes with the assistance of external counsel.
• Be a proactive member of the legal team assisting in the timely intake and response to internal client requests, distribution and collection of contract documents and project support documents for review by the Operations and Corporate Attorney and other members of the Legal Department.
• Interpret and apply contracting principles, applicable laws, regulations, policies, and procedures.
• Prepare, compile and conduct initial review of contract documents and proposed amendments; make modifications or redlines to various department contracts, including but not limited to, IT contracts, consulting agreements, vendor contracts, supplier contracts, partner agreements, and real estate leases.
• Track and maintain company contracts, including but not limited to HR/recruitment agreements, real estate leases, non-disclosure agreements, and IT/technology agreements.
• Updating and maintenance of legal dockets, logs, and spreadsheets.
• Organise and prepare various legal reports.
• Communicate effectively both orally and in writing.
The Successful Applicant
A successful candidate should have:
• Minimum 5 years of overall experience in legal affairs.
• Open to New Delhi as a location.
• Employment labour experience is a must.
