About the role
The Senior Legal Counsel (Compliance) and Assistant Company Secretary will play a critical role in ensuring the SunRice Group’s compliance with legal and regulatory requirements, including those pertaining to ASX reporting and corporate governance. Reporting to both the General Counsel Company Secretary and the Head of Legal, this role involves supporting Group wide policy and training initiatives to support compliance with legal and regulatory frameworks. Duties include:

Compliance:
Oversee the preparation and review of regulatory filings, annual reports and corporate disclosures.

Company Secretarial:
Support the Company Secretary with end-to-end Board and Committee meeting processes including review and distribution of Board and Committee papers, delivery of Board and Committee meetings, minute taking and action items as well as contributing insights and thought leadership and liaising with the Directors/Chair.
Prepare, review, and support the Company Secretary with the lodgement of ASX announcements, including under continuous disclosure obligations (Annual Reports, Corporate Governance Statements and other mandatory reporting).

Risk Management

Identify, assess, and mitigate legal and regulatory risks across the business.
Conduct training sessions for employees on compliance, governance, and legal best practice.

About You
Due to the multi—faceted aspect of this role, we are looking for a skilled and experienced legal counsel who also has company secretarial experience in an ASX listed organisation. Your commercial astuteness means you are confident in identifying how change in policy will impact our company needs. Some of the more traditional requirements of the role are:

Minimum 8+ years of post-qualification experience, ideally gained in a top-tier law firm or in-house legal team.
Extensive knowledge of ASX Listing Rules, corporate governance, and regulatory compliance.
Proven experience advising on compliance frameworks and managing regulatory disclosures
Bachelor of Laws (LLB) or Juris Doctor (JD).
Admission as a solicitor in an Australian jurisdiction and a current practising certificate.
AICD or other Governance Qualification (Desirable)
Excellent communication and interpersonal skills to effectively collaborate with executive team and Board members and stakeholders
You are confident at solving complex problems and developing effective solutions
A curious and continuous learning mindset
