**Key Responsibilities**:
• *1. Legal Advisory Compliance**:
- Provide legal advice on healthcare regulations, business operations, and corporate matters.
- Draft, review, and negotiate contracts, agreements, and legal documents related to medical services, employment, vendor contracts, etc.
- Ensure compliance with healthcare laws, patient privacy regulations, and medical malpractice protocols.
- Represent the medical center in legal proceedings, if necessary.
- Monitor changes in legislation, regulations, and guidelines relevant to the medical industry and advise the management accordingly.
• *2. Corporate Governance**:
- Ensure the medical center's adherence to corporate governance principles and regulatory requirements.
- Prepare, maintain, and update statutory registers and records, such as the Register of Directors and Members.
- Organize and attend board meetings, drafting minutes, resolutions, and maintaining corporate documentation.
- Oversee the filing of annual returns, forms, and resolutions with the relevant regulatory authorities (e.g., Registrar of Companies).
• *3. Risk Management**:
- Identify and evaluate legal risks and provide solutions to mitigate potential liabilities.
- Develop risk management strategies, especially concerning patient safety, employee relations, and healthcare regulations.
- Ensure proper handling and resolution of disputes, claims, or complaints involving the medical center.
• *4. Liaison with Regulatory Bodies**:
- Liaise with external stakeholders, such as regulators, healthcare authorities, auditors, and legal counsels.
- Coordinate legal and compliance-related audits and inspections.
• *5. Policy Development**:
- Assist HR department in the formulation and implementation of internal policies concerning legal matters, data protection, and medical governance.
- Provide advice on employee and patient rights, contract law, and healthcare policies.
• *6. Documentation Record Keeping**:
- Ensure the proper management of legal and corporate records, agreements, and documentation.
- Maintain confidentiality and accuracy in all corporate legal documents and filings.
• *Qualifications Skills**:
- **Educational Qualification**: LL.B. and qualified Company Secretary (CS)
- **Experience**: Minimum 3+ years of experience in corporate law, healthcare law, and company secretarial functions.
- **Knowledge**: Strong understanding of healthcare regulations, corporate governance, legal compliance, and risk management.
- **Skills**:
- Excellent written and verbal communication.
- Strong analytical and problem-solving abilities.
- Ability to work independently and manage multiple legal and corporate tasks.
- High level of integrity and discretion when handling confidential information.
