Role and Responsibilities:
• Advising on and providing legal support for mergers, acquisitions, and divestitures, including structuring transactions, negotiating terms, and drafting legal agreements.
• Conducting legal due diligence on target companies to identify potential risks and liabilities.
• Drafting, reviewing, and negotiating various agreements, including purchase agreements, term sheets, and license agreements.
• Ensuring compliance with applicable laws, regulations, and company policies.
• Assessing and mitigating legal risks associated with transactions and ensuring compliance.
• Working closely with other departments, including finance, business development, and external advisors.
Candidate Profile:
• LLB/LLM with 5+ years of experience in mergers and acquisitions, including working on complex transactions.
• A thorough understanding of corporate law, securities law, and other relevant regulations.
• Strong communication and negotiation skills are crucial for interacting with internal and external stakeholders.
• Ability to analyze complex legal issues and provide effective solutions.
• Familiarity with legal software and document management systems can be beneficial.
