MAIN DUTIES/RESPONSIBILITIES/ROLES:
A. Compliance:
· Proficient in drafting Notices, Agendas, Board Resolutions, and Minutes of Board Meetings, Extra Ordinary General Meeting, and Annual General Meetings.
· Skilled in managing the appointment and cessation of directors, KMP, and auditors.
· Expertise in CSR Compliance.
· E-Filing of various E-Forms on the MCA portal.
· Knowledgeable in handling procedural compliances under various laws, including the Companies Act and Labor Law.
· Consultation on various issues related to the Companies Act, 2013.
B. Legal:
· Experienced in drafting, reviewing, and coordinating legal documents to ensure compliance with all relevant laws and regulations as per business requirements.
· Providing advice and assistance on legal matters, including dispute settlement and vendor contracts.
· Researching and providing legal advice to Management.
· Proficient in drafting various legal documents such as contracts, agreements, Memorandum of Understanding (MOUs), NDAs and other legal documents.
· Experienced in working with external legal counsel and reviewing documents from a legal perspective.
C. FEMA and Banking:
· Experience in filing returns of foreign assets and liabilities, as well as annual performance reports (FLA APR).
· Modifying import-export code.
· Managing outward and inward remittance.
· Reviewing procedures related to the submission of import and export documents to the bank.
· All other compliances under FEMA and RBI.
· Liaison with the bank whenever required.
SKILLS EXPERIENCE
Qualifications:
- C.S./ LL.M/ LL.B.
Experience:
- 2 to 5 years previous experience in a similar role/industry
- Experience in the law field.
