Legal & Compliance Officer - AIF (GIFT City IFSC)
Location: GIFT City, Gandhinagar
Fund Type: Category I / Category II AIF
Experience: 3+ years
Role Overview:
We are seeking a Legal & Compliance Officer to manage regulatory compliance, legal documentation, and governance requirements for a Category I/II AIF operating from GIFT City (IFSC). The role will ensure adherence to IFSCA regulations, SEBI guidelines (as applicable), and other statutory requirements.
Key Responsibilities:
Compliance & Regulatory:
- Ensure end-to-end compliance with IFSCA (Fund Management) Regulations, SEBI AIF Regulations, FEMA, and allied laws
- Act as the point of contact with IFSCA, exchanges, depositories, custodians, and other regulatory bodies
- Monitor and implement regulatory updates, circulars, and amendments applicable to IFSC funds
- Maintain compliance calendars, regulatory filings, and periodic reporting
- Support internal and external audits, inspections, and regulatory reviews
Legal & Documentation:
- Draft, review, and negotiate fund-related documents including:
- PPMs, IMs, term sheets
- Investment agreements, SHA, SSA, side letters
- Vendor contracts, NDAs, service agreements
- Support fund structuring, investor onboarding documentation, and closing processes
- Ensure proper documentation and record-keeping as per regulatory requirements
Governance & Risk:
- Assist in maintaining strong governance frameworks and internal control processes
- Support compliance training and awareness for internal teams
- Identify and flag compliance risks and recommend corrective actions
Eligibility & Qualifications:
- LLB / LLM from a recognized university
- 3+ years of experience in legal & compliance roles within:
- AIFs / PE / VC funds
- Fund management companies
- Law firms handling fund advisory
- Prior exposure to GIFT City / IFSC regulations is highly preferred
- Strong understanding of AIF, securities laws, FEMA, and fund documentation

- Strong regulatory interpretation and documentation skills
- Ability to work independently and manage multiple stakeholders
- High attention to detail and strong compliance orientation
- Excellent communication and drafting skills
