Our team is recognized for their tailored approach to advising and representing clients in their business and family wealth transition planning, including representation in litigation if disputes arise.

Description:

We are seeking an Experienced Business Law Lawyer to join our recognized team at Kormos LLP. The ideal candidate will have a substantial clientele and extensive experience in business law (5-7 years), financings, acquisition/sale transactions, corporate law and re-organizations, business contract drafting, tax planning, and business advisory services.

As a key member of our team, the Experienced Business Law Lawyer will leverage their expertise and existing roster of clients, to provide strategic advice and collaborative support to our unique boutique clientele. This lawyer will also invest in mentoring a less experienced business law associate to support our law team’s growth and performance.

Responsibilities:

· Review and analyze our unique clientele’s goals and plans to identify potential issues and recommend solutions.

· Provide expert legal counsel to clients on a range of business law matters, including corporate governance, acquisitions and sales, financing transactions, reorganizations, tax planning, human resources, regulatory compliance, and business agreement drafting and advisory services.

· Draft, review, and negotiate complex business agreements, including shareholder agreements, partnership agreements, purchase and sale contracts, lending transactions, security agreements, corporate resolutions and minute book documentation, tax strategy implementation, and other business agreements.

· Advise clients on tax planning strategies and implications for various corporate or shareholder transactions and structures.

· Assist clients in business formation, structuring, and organizational matters, including entity selection, incorporation, and corporate restructuring.

· Conduct routine legal research and analysis to stay abreast of developments in business law, finance, tax, regulatory, and other requirements affecting clientele’s interests.

· Support our Commercial Litigation and Estate Litigation teams, as required, in representing clients in negotiations, mediations, and dispute resolutions related to business and commercial matters.

· Collaborate with other lawyers and professionals within the Estate Law and Family Law teams to provide integrated boutique legal solutions that meet clients' needs.

· Actively and accountably follow up and advance matters, aided by our technology support systems. As an experienced lawyer, you will take responsibility for your deadlines and meet them without prompting but with adequate support and available to you, including our associate team.

· Nurture and maintain strong relationships with our team’s existing clients while actively seeking opportunities to expand the firm's clientele.

Qualifications:

· Strong commitment to your personal growth, curiosity, collaboration, and diplomacy.

· Proficiency in a second language and cross-cultural competence.

· Juris Doctor (JD) or LLB degree from an accredited law school.

· Admission to the bar and in good standing with the Law Society of Alberta.

· Commitment to developing and maintaining our clientele’s trust and confidences.

· Ideally 7+ years’ years of experience practicing Business Law, with a proven track record of success and a substantial client base. Minimum of 3-5+years’ experience may be considered, for an exceptionally qualified candidate.

· Proven expertise in responsibility areas identified above.

· Strong intuitive understanding of client needs, including in corporate governance principles, business law and operations, transactions, lending/borrowing, taxation, regulatory requirements, human resources, and corporate documentation.

· Superb negotiation, communication, and interpersonal skills.

· Excellent written and verbal communication skills. Writing samples will be required of all applicants before interviewing.

· Demonstrated commitment to professionalism, integrity, and client service excellence.

· Ability and fluidity to work independently and collaboratively in a boutique-service firm.

· Entrepreneurial mindset with a proactive approach to business development and client relationship nurturing and mentorship.
