Job Description
Position Title: Vice President, Equity Capital Markets (ECM)
Department: Investment Banking Division
Reporting to: Director – Investment Banking
As the Vice President of Equity Capital Markets (ECM) within the Investment Banking Division, you will play a pivotal role in managing and overseeing all Merchant Banking activities in the Equity Capital Markets. This multifaceted role involves sourcing & execution of initial public offerings (IPOs) mandates, handling SEBI takeovers, delisting, Buybacks, sell-side and buy-side M&A advisory, qualified institutional placements (QIPs), valuations, and fairness opinions. Your leadership and expertise will be instrumental in driving the success of our ECM operations, ensuring regulatory compliance, and providing strategic guidance to our clients.

Key Responsibilities:
1. Sourcing IPOs:
• Identify and cultivate relationships with potential issuers, including public and private companies seeking to get listed.
• Conduct comprehensive business development to identify and evaluate IPO opportunities.
• Develop and maintain a strong network within the investment and corporate community.
2. Executing IPO Mandates:
• Lead the end-to-end execution of IPO mandates, including structuring, pricing, and marketing of the offering.
• Collaborate with internal teams to ensure regulatory compliance and seamless execution.
• Provide strategic guidance to clients and team members throughout the IPO process.
3. SEBI Takeovers:
• Manage and execute SEBI takeover transactions, adhering to regulatory guidelines and compliance requirements.
• Offer strategic advice to clients on takeover strategies, bid structures, and negotiation tactics.
• Prepare takeover-related documentation
4. Delisting:
• Oversee the process of delisting, advising clients on regulatory requirements and strategies.
• Assisting the clients in structuring and executing delisting transactions.
• Ensure compliance with SEBI regulations and stock exchange rules.
5. Sell-Side and Buy-Side M&A Advisory:
• Provide strategic advisory services to clients in sell-side and buy-side transactions.
• Conduct financial analysis, valuations, and due diligence.
• Assist in negotiations and deal structuring.
• Lead the team for completion of the transaction.
6. Buybacks:
• Assisting the clients in executing share buyback programs, ensuring compliance with SEBI regulations.
• Develop buyback strategies and facilitate the Buyback of shares.
8. Qualified Institutional Placements (QIP):
• Lead QIP transactions, including structuring and pricing of equity offerings.
• Prepare Preliminary Information Memorandum
• Coordinate with regulatory authorities and investors during QIP processes.
+. Valuations:
• Conduct comprehensive financial valuations of companies, assets, and securities.
• Provide valuation opinions and recommendations to clients.
10. Fairness Opinions:
• Prepare fairness opinions in accordance with regulatory requirements and industry standards.
• Ensure objectivity and accuracy in fairness opinions provided to clients.
Qualifications:
• Bachelor's degree in Finance, Business, or a related field
• CA preferred
• MBA’s may also apply
Experience: 10 Years
Requirements:
• Proven track record of successfully executing IPOs, SEBI takeovers, delisting, and buybacks, QIPs, valuations, and fairness opinions.
• Strong knowledge of Indian Capital Markets and regulatory frameworks, including SEBI guideline; and working knowledge of Companies Act 2013.
• Excellent leadership and team management skills.
• Exceptional financial modelling and analytical abilities.
• Effective communication and client relationship management skills.
• Ability to work in a fast-paced, deadline-driven environment.
• High level of integrity and commitment to ethical standards.
