Nanhua USA Holding LLC has three subsidiaries: Nanhua USA Futures LLC, Chicago Institute of Investment Inc, and Nanhua USA Investment LLC. Nanhua USA Futures LLC is registered as futures commission merchant (FCM) with the U.S. Commodity Futures Trading Commission (CFTC). Chicago Institute of Investment Inc. provides customized and professional financial training courses. Nanhua USA Investment LLC is registered as commodity pool operator (CPO) and commodity trading advisor (CTA) with the CFTC. Nanhua USA Holding LLC, along with its ultimate parent, Nanhua Futures Co., Ltd., dedicates to provide global brokerage services, asset management solutions, and advanced financial training to the American and Chinese market.
Responsibilities:
Nanhua USA Futures LLC is looking for a highly motivated and experienced Head of Compliance (the to manage its FCM and CPO/CTA compliance matters. The Head of Compliance is expected to have specific expertise in all facets of commodity futures regulation. The Head of Compliance must have a solid understanding of net capital rules, customer protection and segregation rules, and ability to effectively liaise with the accounting department and the CFO. The candidate must have experience interacting with regulators both in the course of exams and audits, as well as in the role of advocating firm initiatives. The Head of Compliance will be responsible for ensuring that all processes are in place to establish, maintain, review, test and modify written compliance policies and supervisory procedures reasonably designed to achieve compliance with CFTC, NFA and various exchange rules, and any applicable state laws and regulations. The Head of Compliance will partner with Nanhua business leaders to provide instruction and guidance on how to develop new policies and procedures that would apply to new business initiatives or modifications to current business activities. The Head of Compliance will also be expected to adapt to new regulations and be willing to secure additional licenses to accommodate new products and lines of business, as they may develop over time.
Job Duties:
The duties shall include, but not limited to:
· Represent Nanhua USA to liaise with regulators, such as the auditors from CFTC and the examiners from the exchanges, as well as other key trading associations and professional organizations in the commodities industry;
· Successfully manage any and all of the periodic and special regulatory examinations of Nanhua USA;
· Establish, maintain, and enforce all the internal control programs;
· Conduct annual or quarterly internal compliance assessment and test;
· Ensure compliant with the requirements of segregation of client funds according to rules and regulations promulgated by the CFTC, CME and other rules that are applicable;
· Manage NFA’s ORS System for the firm, including update of the registered representatives and the completion of the annual questionnaires;
· Manage the periodic and special WinJammer filings;
· Maintain and update firm and personnel registrations;
· Expertise in CFTC rules, as well as NFA, CME and state rules and regulations that applicable to FCMs;
· Review promotional materials under the requirements of CFTC and NFA;
· Ensure adequacy and appropriate updating of all compliance policies and procedures, including but not limited to the Risk Management Program, the AML policy, compliance manual, the ISSP and IDTP procedures, and the BCDR policy;
· Provide supervisory oversight of all sales materials and compensation related to futures; and training program and needs analysis;
· Oversee the training program to ensure its being effectively executed;
· Be responsible for overseeing the independent third-party examinations such as the annual examination of Risk Management Program and the annual examination of the AML compliance ; and
· Understand and mitigate the key elements of the company’s risk profile.
Qualifications:
· Education: Bachelor’s degree or higher in finance, law, or other related fields;
· Professional certificate: passing the Series 3 - National Commodities Futures Examination is preferred;
· Professional license: attorney license strongly desired;
· Working experience: minimum of three (3) years work experience as a compliance officer at a futures commodity merchant or related businesses is required;
· U.S. work authorization for any employer is required;
· The candidate should have strong organizational, interpersonal and communication skills. The candidate should be a team player with the ability to work with diverse personalities. The candidate should have a multi-tasking ability to complete projects within tight time constraints and adapt quickly as needs change.
