We are looking for a General Counsel/VP – Legal & Compliance to establish and lead the Group's global Legal & Compliance function.
This is a unique opportunity to join the executive leadership team and build the legal function from the ground up—shaping the organization's approach to commercial contracting, corporate governance, privacy, compliance, intellectual property, risk management, and strategic transactions.
The ideal candidate will be both strategic and hands-on: someone who can advise the CEO and Board on complex matters while also building scalable processes, frameworks, and a high-performing legal organization.
The Opportunity
As the Group's senior-most legal leader, you will be responsible for providing legal and strategic guidance across the business while building a scalable global legal infrastructure.
You will partner closely with the CEO, CFO, Board, and senior leadership team, as well as Product, Engineering, Sales, Finance, HR, Security, and other functions.
Your key areas of ownership will include:
Commercial & Technology Law
• Lead the drafting, negotiation, and execution of enterprise SaaS and technology agreements, including MSAs, DPAs, NDAs, licensing agreements, partnership and reseller agreements, and vendor contracts.
• Partner with Sales, Product, Engineering, Security, Finance, and other teams to provide practical, commercially focused legal guidance.
• Build scalable contract templates, negotiation playbooks, approval frameworks, and legal workflows.
• Establish processes that enable faster business execution while appropriately managing legal and commercial risk.
• Manage external legal counsel across multiple jurisdictions and optimize legal spend.
• Oversee disputes, claims, demand notices, and litigation, working toward commercially balanced outcomes.
Corporate Governance & Secretarial
• Lead corporate governance and company secretarial matters across the Group's global entities.
• Oversee board meetings, resolutions, statutory registers, regulatory filings, and governance documentation.
• Advise on corporate structuring, investments, reorganizations, and strategic transactions.
• Support M&A activities, including due diligence, transaction documentation, and post-transaction integration.
• Coordinate with local legal and corporate secretarial advisors across jurisdictions.
• Ensure compliance with applicable corporate and regulatory requirements across the Group.
Privacy, Compliance & Regulatory Affairs
• Own and continuously strengthen the Group's global privacy and compliance framework.
• Lead privacy and regulatory initiatives covering GDPR, CCPA, India's DPDP Act, and other applicable regulations.
• Oversee the Group's Data Protection Officer (DPO) function.
• Establish privacy-by-design and data governance practices across products and business operations.
• Develop and maintain privacy notices, policies, DPAs, internal compliance frameworks, and related documentation.
• Monitor regulatory developments and translate them into practical business recommendations.
• Represent the organization, where appropriate, before regulators and oversee responses to regulatory inquiries, audits, and compliance matters.
Intellectual Property & Technology
• Develop and execute the Group's IP strategy across trademarks, copyrights, patents, software, and other technology assets.
• Advise on SaaS licensing, technology partnerships, AI-related legal matters, and emerging technology risks.
• Oversee open-source software compliance and technology-related legal frameworks.
• Protect and manage the Group's intellectual property portfolio and enforcement strategy.
Legal Risk & Disputes
• Develop an enterprise-wide legal risk management framework.
• Identify, assess, and proactively mitigate material legal and regulatory risks.
• Oversee litigation, disputes, investigations, claims, and external counsel.
• Provide senior leadership with clear, commercially grounded recommendations on complex and emerging risks.
Leadership & Business Partnership
• Build, lead, and scale a high-performing global Legal & Compliance function.
• Serve as a trusted advisor to the CEO, CFO, Board, and executive leadership team.
• Establish legal operating models, processes, KPIs, and governance mechanisms aligned with business priorities.
• Develop legal and compliance awareness across the organization through training and enablement.
• Present material legal, compliance, governance, and risk matters to executive leadership and the Board.
• Build strong relationships with external counsel, regulators, advisors, and other strategic stakeholders.
What We're Looking For
• 12–18 years of post-qualification legal experience, with significant experience in senior in-house legal leadership roles.
• Experience working within a global technology, SaaS, software, internet, or similarly complex business environment.
• LLB or equivalent law degree required; LLM or relevant postgraduate qualification is a plus.
• Qualification to practice law in India is preferred/required depending on the candidate's primary jurisdiction.
• Strong expertise in commercial contracting, technology law, corporate governance, privacy, and regulatory compliance.
• Deep working knowledge of GDPR and familiarity with India's DPDP Act, CCPA, and other global privacy frameworks.
• Proven experience managing legal matters across multiple international jurisdictions.
• Strong exposure to M&A, due diligence, corporate restructuring, investments, shareholder arrangements, and strategic transactions.
• Experience with intellectual property, software licensing, SaaS agreements, and open-source compliance.
• Experience building or scaling an in-house legal function is highly desirable.
• Strong commercial judgment and the ability to balance legal risk with business objectives.
• Excellent communication, negotiation, influencing, and stakeholder-management skills, with the ability to engage effectively with senior executives and Boards.
• Exceptional written and verbal English communication skills.
• French language proficiency and/or experience working with European businesses is a strong advantage.
What Success Looks Like
In your first 12–18 months, you will:
• Establish a scalable global Legal & Compliance function and operating model.
• Create consistent legal, contracting, governance, privacy, and compliance frameworks across the Group.
• Improve the speed, consistency, and effectiveness of commercial contracting.
• Strengthen the organization's global privacy and regulatory compliance posture.
• Build strong partnerships with executive leadership and business teams.
• Establish an effective approach to legal risk management and external counsel.
• Support strategic business initiatives, investments, and M&A.
• Build and develop a strong legal team capable of supporting the Group's continued global growth.
