Job Description
Job Summary:
We are seeking a qualified and experienced Corporate Legal Counsel with a strong
background in corporate law, taxation, and regulatory compliance to join our team in
Ahmedabad. The ideal candidate will be responsible for providing legal guidance on
business operations, corporate transactions, taxation matters, structuring, and general legal
risk management across group companies. This role will work cross-functionally with
finance, strategy, investment, operations, and external advisors.
Key Responsibilities:
Legal Advisory & Corporate Governance
- Advise management and business units on corporate law, company structuring, and
contract law matters.
- Draft, review, and negotiate a wide range of commercial agreements including shareholder
agreements, vendor and customer contracts, JV agreements, and NDAs.
- Assist in legal due diligence for mergers, acquisitions, and new investments.
- Manage board meetings, resolutions, minutes, and statutory registers with Company
Secretarial team.
Taxation & Structuring
- Advise on direct and indirect taxation, capital gains planning, transfer pricing, and group
tax strategy.
- Assist in structuring investments, business reorganizations, and family wealth planning
from a legal and tax perspective.
- Work with external advisors for advance rulings, tax assessments, and litigation strategy
when required.
- Stay updated with tax law changes (e.g., GST, Income Tax Act, International Taxation,
DTAA, GAAR).
Compliance & Regulatory
- Ensure compliance with Companies Act, FEMA, SEBI, RBI, and other applicable regulations.
- Handle FDI/FPI/ODI-related documentation and RBI filings.
- Coordinate filings with ROC, income tax authorities, and other statutory bodies.
- Support statutory audits and liaise with tax and legal authorities as necessary.
Risk Management & Dispute Resolution
- Identify and mitigate legal and regulatory risks across operations and transactions.
- Oversee or coordinate ongoing litigation, arbitration, and notices with external counsel.
- Implement internal policies and controls to prevent non-compliance or legal disputes.
Qualifications and Skills:
- LL.B. or LL.M. from a reputed law school; additional qualifications in Chartered
Accountancy (CA), CS, or LL.M. in Taxation preferred.
- 4–10 years of post-qualification experience in corporate law, M&A, and taxation (in-house
or law firm).
- Strong understanding of Indian tax laws (including GST and income tax), FEMA,
Companies Act, and SEBI/RBI regulations.
- Experience working with promoters, senior management, auditors, and external law firms.
- Excellent drafting, negotiation, analytical, and interpersonal skills.
- Comfortable handling multiple stakeholders and fast-paced environments
