Job description
We have an immediate opening for a Corporate Law Clerk with strong technical, interpersonal and communication skills.
• Providing independent professional support services;
• Preparing and drafting various corporate documents, including those relating to:
• Incorporations and dissolutions;
• Amalgamations;
• Amendments and changes; and
• Annual and other resolutions;
• Preparing minute book summaries and identifying deficiencies;
• Assisting lawyers and law clerks with respect to various matters, including due diligence reviews;
• Preparing documentation related to mergers, acquisitions, financings, share/asset purchase and sale transactions and reorganizations;
• Updating of information in the corporate database and other record keeping systems; and
• Other duties as assigned.
• College degree/Certificate in law clerk studies, or equivalent work experience;
• Minimum two years' experience as a business law clerk in a law firm or corporation;
• Client-service oriented, including strong interpersonal and relationship-building skills;
• Excellent written and oral communication skills;
• Proven ability to multi-task, work well under pressure and adjust to changing needs of the firm;
• Good judgement and organizational skills, and
