Key Responsibilities:
- Lead JV discussions, structuring, and negotiations with domestic and international partners.
- Handle end-to-end documentation, including NDA, MoU, JVA, Shareholders Agreements, and related contracts.
- Drive M&A transactions, including due diligence, deal structuring, and execution.
Evaluate and negotiate key aspects of JV agreements, such as:
- Equity structure
- Board composition & control
- Technology transfer & ownership
- Business operations & governance
- Safeguard company interests during equity and partnership negotiations, especially in. cases involving technology-for-equity discussions.
- Manage legal risk assessment and mitigation strategies across all business verticals.
- Ensure compliance with corporate laws, regulatory requirements, and secretarial. standards.
- Handle departmental notices (Tax, Regulatory bodies, etc.) and litigation support.
- Advise leadership on legal strategy, corporate governance, and business expansion plans.
- Liaise with external legal counsels, consultants, and regulatory authorities.
