Position Overview:
We are seeking an experienced and dynamic Corporate Legal Counsel to work with our US-based staffing and recruiting agency. As part of our management team, this role will manage the company's legal affairs in close collaboration with senior management.
The ideal candidate will bring extensive experience working with US-based companies, a strong command of corporate legal practices, and the ability to handle high-level legal responsibilities independently.
Responsibilities:
Legal Management:
• Draft, review, and negotiate a wide range of contracts and agreements, including client agreements, vendor contracts, and employment/HR agreements.
• Redline and revise contract drafts in collaboration with internal stakeholders and external US attorneys.
• Ensure that all contractual terms comply with applicable laws and align with company policies.
Legal Compliance and Advisory:
• Provide legal counsel on US employment law matters, including compliance with federal, state, and local regulations.
• Advise senior management on legal risks, business strategies, and regulatory compliance.
• Maintain awareness of evolving US legal and regulatory developments relevant to staffing and recruiting.
Collaboration and Oversight:
• Serve as a key liaison with senior management and external legal counsel in the US for complex legal matters.
• Collaborate with cross-functional teams to provide guidance on legal and business issues.
• Develop and implement processes for risk management and compliance.
Dispute Resolution:
• Manage and oversee legal disputes, investigations, and other contentious matters in coordination with external legal counsel.
• Draft and review settlement agreements, NDAs, and other legal documents related to dispute resolution.
Qualifications:
Educational Background:
• Law degree (LL.B./LL.M.) from a recognized university in India.
• Admission to the Bar Council of India is required. Admission to a US state bar is a plus.
Experience:
• Minimum 7-10 years of post-qualification experience in corporate legal roles.
• Significant experience working with US-based companies on corporate legal affairs, including employment law, compliance, and contract negotiation.
Skill Set:
• Expertise in drafting, reviewing, and negotiating contracts with minimal supervision.
• Strong understanding of US employment laws and regulatory frameworks.
• Proven ability to redline and finalize agreements with precision.
• Excellent communication and collaboration skills for working with global teams and external attorneys.
• High level of professionalism and integrity.
• Exceptional attention to detail and organizational skills.
• Ability to work independently and make decisions confidently.
• Strong problem-solving and negotiation abilities.
Location:
Remote (India) and must work US business hours, + am to 5:30 pm Eastern Time, Monday - Friday.

Role Overview The Legal Counsel, Enterprise will support contract drafting, reviewing, and counseling primarily in the areas of Emeritus’ Enterprise Business contracts for India, APAC, the United States, and Europe, and commercial, marketing and advertising and IT contracts that impact the Enterprise Business. The Legal Counsel, Enterprise will support global contract management and administration, including corporate functions with transactions in the above-mentioned areas, and will collaborate with the Regional General Counsel, and other legal team members on legal projects impacting the business. Position is an India-based Manager role and is remote and will report to Emeritus’ Globally General Counsel. Role and Responsibilities Draft, review, and negotiate Enterprise Business contracts and commercial, marketing and advertising and IT contracts that impact Enterprise Business. Provide legal advice on structuring business transactions and negotiating terms and conditions of contracts. Prepare and update form agreements including collaborating with regional counsel globally as appropriate. Partner with the Privacy Team to provide guidance on privacy laws as they impact the Enterprise Business. Train internal clients with respect to contracting process/practices. · Collaborate with internal subject matter experts about intercompany transactions. Work within an increased volume of activity in business-critical legal matters, on diverse types of transactions in various time zones. Skills and Qualification Proficiency in English is essential. 4+ years of demonstrated legal experience in drafting, reviewing, and negotiating contracts. Experience as in-house counsel of a global technology or education company in addition to law firm experience preferred. LLB Degree and enrolled as an Advocate on the rolls of the Bar Council of at least one State preferred. Privacy law experience required. Self-motivated, flexible, and efficient working style. Strategic thinking and strong business acumen. Quality-oriented with a focus on detail and the ability to identify and resolve issues independently. Excellent communication and interpersonal skills; experience interacting with members of a small team and advising business units globally.
