Legal Counsel

The Legal Support job assists attorneys and performs tasks that allow attorneys and other legal professionals to focus on delivering legal advice. Working under direct supervision, this job performs legal research, supports the drafting of legal and business communications and performs general file management of legal documents.

Key Responsibilities and Duties
• Supports drafting and where required, translating correspondence, legal contracts, letters of agreement, and other legal documents for attorneys.
• Gathers legal files and materials so that they are easily accessed and retrieved without compromising the confidentiality or privacy of the information they contain.
• Assists in legal research to support the legal team in preparing accurate and timely reports, legal advice, case files, and other legal documents.
• Collects law sources as directed by attorneys such as statutes, recorded judicial decisions, legal articles, treaties, constitutions, and legal codes for preparation of legal documents, such as briefs, pleadings, appeals, wills, and contracts.
• Follows the established procedures and guidelines of the legal profession to provide timely and effective support to a legal team.
• Takes notes during attorney meetings and utilize to prepare drafts of agreements, financial reports or settlements, coordinating with other legal support staff as necessary.

Key Skills:

Legal Writing and Editing: Experience writing and editing complex legal documents along with expert level grammar skills. Knowledge in using the tools in Word document and PDF for editing, commenting, tables insertion, header/footer edits, superscript edits, organize pages, track changes, etc. Strong analytical skills including the ability to analyze financial data (like prospectuses and understanding of fees/expenses) in addition to legal documents. Securities Laws Knowledge: Basic understanding of securities regulations and rules. Tax related expertise to work on product tax disclosures. Keeping track of action items and following up with the point of contacts appropriately for pending items.

Responsibilities:

Review/Drafting of record keeping agreement(s), intercompany agreements, commercial/annuity contracts, third party agreements, review of recordkeeping agreements, etc. Research and maintain data relating to either of or all 50 state surveys on various retirement/annuity plan issues. Carrrying out research activities on product distribution issues. Carrying out research on state laws and federal tax laws on various retirement plan issues. Reviewing and proofreading of marketing materials, learning and development materials, participant disclosures (regulatory and non-regulatory filings). Support in new insurance product regulatory filings, respond to objections from regulators, co-ordinate with stakeholders. To provide additional support on SEC reviews for TC Life Filings. Beneficiary Relationship Team (BRT) beneficiary dispute resolution. Ongoing Legal Support for SEC Form/Rule Checks. Review of escalations relating to NCC complaints. Reviews PoAs for PD team.

Support DCX initiatives.
