Job description
Reporting to the CFO, the Head of Legal and Compliance will provide strategic legal guidance and risk management expertise in a rapidly evolving business environment. You will play a critical role in corporate governance, regulatory compliance, and contract negotiation, particularly in the areas of construction agreements, vendor contracts, and regulatory filings. This is a newly created leadership position, responsible for building and formalizing the legal function, establishing best practices, and ensuring compliance with industry regulations. This role requires a seasoned commercial lawyer with a strong background in risk management, corporate governance, and regulatory compliance.

As the Head of Legal and Compliance, you will:
• Act as a legal advisory, providing expert legal advice to the executive team and board of directors on a wide range of legal issues.
• Establish company-wide regulatory processes and controls, working cross-functionally to mitigate legal and operational risks.
• Draft, review, and negotiate a broad range of contracts, including construction agreements, vendor contracts, employment agreements, insurance policies, NDAs, and intellectual property matters.
• Ensure the organization complies with all relevant laws, regulations, and industry standards.
• Oversee the drafting, review, and negotiation of contracts, agreements, and other legal documents to protect the company's interests.
• Liaise with external legal counsel, regulatory bodies, and other stakeholders.
• Conduct legal research and analysis to stay updated on changes in laws and regulations that may impact the company.
• Develop and implement legal strategies, policies, and procedures to ensure compliance with applicable laws and regulations and best practices applicable to the Telecom Industry.
• Stay informed about industry-specific legal issues and trends and provide guidance to the company on potential impacts.

You and Your Experience:
• Bachelor of Laws (LLB) or Juris Doctor (JD) from an accredited institution.
• Called to the Bar in Canada and in good standing with the applicable Law Society.
• 5+ years (preferred 10-15 years) of experience in commercial law, corporate governance, and compliance.
• Strong background in construction law, risk management, and governance.
• Proven ability to negotiate high-value contracts, particularly in construction, infrastructure, and vendor agreements.
• Experience in regulatory compliance, particularly in telecommunications, construction, and corporate governance.
• Ability to build and lead a legal department, including managing legal counsel and compliance personnel.
• Excellent contract drafting, negotiation, and analytical skills.
• Strong Communication and advisory skills, with the ability to provide clear legal guidance to senior executives and board members.
