Summary
The selected candidate will assist in piloting the contractual requirements of customer requests versus vendor agreements in order to ensure compliance under a vendor management process (One Door process). Bell’s vendor management process is focused on identifying commercial related risks to the appropriate stakeholders and collaborating with such stakeholders to ensure successful project delivery while minimizing exposures to Bell.
As part of Bell’s One Door process, you will perform deviation assessments of customer requests for aspects related to vendors and will ensure the proper flow down of non-standard clauses under the applicable vendor agreements. In addition, you will also be required to advise and negotiate on changes with relevant stakeholders to various contracts, such as IT sourcing agreements, Statements of Work (SoW), or marketing and incentive programs.
Key Responsibilities
Contract Risk Management: Assess and mitigate risks in customer and vendor contracts, including non-standard clauses, ensuring alignment with customer requirements and collaborating with Procurement.
Contract Review Improvement: Review existing and new contracts, advise stakeholders on changes, and document all risks and approvals
RFx non-solicited reviews: Analyze incoming One Door requests, comparing customer terms to existing third-party agreements to identify legal and business risks to Bell; assess risk exposure, highlight discrepancies, and collaborate with subject matter experts to determine the impact of identified terms on third-party deliverables.
Stakeholder Management: Manage expectations of stakeholders engaged in the One Door Process (includes sales, proposal management, legal, architecture, governance, procurement, product, senior management and others).
Supplier negotiation: Negotiate supplier contracts, minimizing Bell's risk using Customer Opportunity Agreements (COAs); collaborate with cross-functional teams (sales, legal, procurement, product, pricing) to define contract terms and contingencies; develop and propose contract language ensuring alignment with customer requirements; manage stakeholder action items; serve as the primary legal contact for contractual matters, scheduling meetings and calls.
Risk Assessment and Mitigation: Collaborate with Bell corporate teams (Legal, Insurance, Audit, Finance) to evaluate deal risks, determine impacts, and develop SOx-compliant mitigation strategies.
Governance Compliance: Ensure adherence to Bell's internal governance controls and processes, including monthly compliance audits; manage the filing, archiving, and tracking of supplier responses and risk mitigation plans.
Critical Qualifications
A bachelor’s degree in business law
Minimum of 5 years’ experience in contract management in multidisciplinary projects in IT procurement
Familiar with Software suppliers requirement i.e. EULA, ELA, SAAs and Cloud contract
Knowledge of telecommunication networks in telephony, data transmission and network management tools
Contractual knowledge of IT and procurement
Strong written and verbal communication skills
Advanced Microsoft Word skills and working knowledge of Adobe Acrobat, Excel, PowerPoint
Strong interpersonal skills and ability to interact with all levels of an organization
Technical Writing experience, an asset
Basic Knowledge in IOT and Mobility contract, an asset
Knowledge of the corporate structure of Bell Canada, its affiliates and its regulations, an asset
