Position Summary
We are seeking a highly skilled Public Companies and Capital Markets Attorney with a strong background in public company reporting, compliance, and capital markets transactions. The ideal candidate will have at least 4 years of experience advising public companies on SEC reporting, corporate governance, disclosure obligations, and Nasdaq/NYSE compliance. Experience representing issuers or investment banks in capital markets transactions—including IPOs, equity and debt offerings, PIPEs, and at-the-market offerings—is essential.
A background working with technology or life sciences companies is a plus. The position offers the opportunity to work with a national, high-caliber legal team serving clients across multiple industries.
Key Responsibilities
Advise public companies on SEC compliance, disclosure requirements, and corporate governance best practices.
Counsel clients on Nasdaq/NYSE listing requirements and compliance issues.
Represent issuers and underwriters in capital markets transactions including IPOs, debt offerings, and PIPE transactions.
Draft and review registration statements, periodic reports, proxy statements, and other SEC filings.
Provide strategic legal advice for day-to-day operational and corporate matters affecting public companies.
Collaborate with cross-office legal teams and contribute to business development initiatives.
Required Qualifications
Juris Doctor (JD) from an accredited law school.
Active membership in at least one U.S. state bar.
Minimum 4 years of experience with public companies and capital markets transactions.
Strong understanding of securities laws, SEC reporting requirements, and corporate governance.
Experience representing issuers or investment banks in capital markets deals.
Preferred Qualifications
Experience working with technology or life sciences companies.
Familiarity with both debt and equity capital market structures.
Work Environment
Office-based with potential hybrid flexibility depending on location.
No regular travel required.
