Job Summary
The Head of Legal Counsel will provide strategic leadership and oversight to the organization's legal function, ensuring alignment with corporate objectives, regulatory compliance, and risk management. This role necessitates an experienced professional to draft, review, and negotiate contracts, safeguard intellectual property, manage corporate governance, and oversee all legal aspects of the business while fostering a high-performing legal team.
Key Responsibilities
1. Contract Management
• Draft, review, and negotiate a diverse portfolio of contracts to secure win-win outcomes for the organization and counterparties.
• Act as a business enabler by proactively recommending solutions and driving the contracting process.
• Stay updated on industry trends and technological advancements to incorporate necessary protections into contracts.
• Serve as the custodian of all contracts and oversee the finalization of End User License Agreements (EULAs) for Software-as-a-Service (SaaS) offerings.
2. Renewals Extensions
• Monitor and ensure timely renewals/extensions to prevent gaps in contracting.
• Collaborate with business teams to expedite the contracting process and mitigate risks of operating without contracts.
3. Reporting MIS
• Prepare and present monthly Management Information System (MIS) reports on:
• Services being provided without contracts.
• Contracts scheduled for renewal within the next +0 days.
4. Intellectual Property
• Drive and oversee the registration and protection of company trademarks to safeguard intellectual property.
5. Insurance Management
• Ensure all insurance coverage gaps are identified and resolved within established timelines.
• Manage relationships with brokers to actively oversee and optimize the organization's insurance policies.
6. Corporate Governance Secretarial Functions
• Provide robust support for corporate governance and secretarial activities.
• Ensure timely filing and compliance with corporate regulations across all jurisdictions.
• Engage reputable vendors to assist in filings, registrations, and other compliance requirements.
• Offer legal counsel during ISO 27001, ISO 27701, GDPR, and HIPAA compliance audits.
7. Team Leadership Development
• Build and lead a high-performing legal team by setting clear goals, providing mentorship, and conducting performance evaluations.
Qualifications
• Educational Background: Bachelor's degree in Law (LLB); a Master's degree in Law (LLM) is preferred.
• Experience: Minimum of 12-15 years of legal experience, preferably in the Information Technology space, with at least 5 years in a leadership role.
• Skills:
• Strong negotiation and stakeholder management skills.
• In-depth knowledge of corporate law, compliance, intellectual property, and insurance.
