Position Summary:
We are seeking a highly skilled and business-savvy Commercial Transactions Attorney with substantial experience in the manufacturing sector. The ideal candidate will be responsible for drafting, negotiating, and advising on a broad range of commercial contractsand transactional matters, with a focus on supplier agreements, procurement, sales contracts, distribution, and licensing, particularly within a manufacturing environment.
Key Responsibilities:
● Draft, review, and negotiate a wide range of commercial contracts, including: ● Advise on compliance relating to corporate law FEMA regulation SEBI regulation and recommend practical solutions aligned with business objectives
● Carrying out Due Diligence and advising client on the investment/ joint venture/ takeover/ transfer related documents
● In-house legal experience in a manufacturing or industrial company
● Ensure contracts comply with industry regulations, corporate policies, and applicable laws (e.g., UCC, antitrust, environmental regulations)
● Monitor and interpret changes in relevant laws and regulations impacting manufacturing and commercial transactions
● Assist in dispute resolution or litigation management related to commercial agreements ● Develop and maintain contract templates, playbooks, and internal training for commercial and manufacturing teams
Qualifications:
● 7+ years of experience practicing commercial law, with at least 5+ years in the manufacturing industry
● Deep understanding of the operational and regulatory environment of manufacturing, including supply chain, product liability, and quality assurance issues
● Strong negotiation and contract drafting skills, with ability to work independently in a fast-paced environment
● Exceptional business judgment and strategic thinking
● Experience working cross-functionally with non-legal business units
● Excellent communication and interpersonal skills
