Position: Legal Associate
Educational Qualification
LLB from a reputable institution.
Mandatory additional qualification as a Chartered Accountant (CA) or CompanySecretary (CS).
Total Experience: 5-8 years. in general corporate team and/or Private Equity is preferred:-
Key Legal Advisory
• Provide Specialised Legal Consultation on Private Investment Transactions
• Offer expert advice on Private Equity fund administration.
• Risk Management:
• Identify and address legal and reputation risks associated with Private Equity on-boarding.
• Ensure effective disclosure and mitigation of risks.
• Due Diligence:
• Conduct thorough due diligence of target companies.
• Document Drafting and Negotiation:
• Draft, negotiate, and vet investment-related agreements, MOUs, and other legal documents.
• Coordinate with various teams to ensure agreement closure.
• Compliance:
• Ensure compliance with Indian Foreign Exchange Management Act, Securities and Exchange Board of India Guidelines, and Companies Act.
• Oversee compliance, filing, and corporate governance.
• Commercial Assessment:
• Assess legal and commercial aspects of investment agreements.
• Record Keeping:
• Maintain statutory registers and company records.
• Handle all types of legal forms.
• Stakeholder Management:
• Liaise with ROC, lawyers, clients, government authorities, senior management, consultants, and external agencies.
